BYLAWS OF HOGTOWN INC.
ARTICLE I: NAME
The name of this organization shall be known as Hog Town Inc.
ARTICLE II: FORM OF ORGANIZATION
A. Hog Town Inc. shall be a Michigan non-profit, 501C3 non stock corporation.
B. Hog Town Inc. will not be known as, or advertised as, or referred to as a "motorcycle club".
C. No member of Hog Town Inc. will wear "club" or "territory" rockers pertaining to Hog Town Inc. on their apparel.
ARTICLE III: PURPOSE
To raise money for charities and other non-profit 501C3 organizations, such as, but not limited to United Hospice Services
and Military Veterans.
ARTICLE IV: DISSOLUTION
If Hog Town Inc. should dissolve,all moneys and properties of Hog Town Inc. will be distributed to either United Hospice
Services or another organization that hold the title 501C3 non-profit status of the internal revenue code. No member
will keep any part of Hog Town Inc.'s assets for their own personal benefit.
ARTICLE V: MEMBERSHIP
A. Membership will be open, upon application, to anyone 18 and older, who believes in the purposes of Hog Town Inc.
B. The yearly membership fee will be $15.00 for a single person and $25.00 for a couple.
C. Membership, subject to review by the board, will take effect immediately upon receiving application and dues,and will
expire one year from that date.
D. All dues paid by eligible members will be non-refundable.
ARTICLE VI: VOTING RIGHTS
A. Each eligible member will be entitled to one vote on any matter brought up for a vote, to the membership of
Hog Town Inc.
B. No absentee votes will be allowed.
C. To participate in the election of officers,members must be present at 4 of more meetings during the previous six
months to establish and maintain voting rights.
ARTICLE VII: DISIPLINARY ACTIONS
A. All disciplinary actions will be taken by the full board after a full investigation and report.
B. All cases will be handled separtely depending on the severity and circumstances of the incident.
C. All cases will be handled without prejudice.
D. Individual(s) involved have the right to go before the full board to present their case.
ARTICLE VIII: REASONS FOR EXPULSION
A. Non payment of dues.
B. Disciplinary action.
C. The commission of a felony or unlawful act committed during the course of any Hog Town Inc. functions.
ARTICLE IX: STATEMENT OF ETHICS AND CONDUCT
A. Actions or behavior that bring embarrassment to or discredit the reputation of Hog Town Inc. shall be subject to a
hearing in front of the board.
ARTICLE X: OFFICERS
A. The officers of Hog Town Inc. shall consist of a President, Vice President, Secretary,Treasurer, Sergeant at Arms and
alternate SAA, and Trustees.
B. The function and duties of these officers shall consist of:
1. PRESIDENT
a. To preside over all board and general membership meetings.
b. To enter into all business contracts and negotiations concerning Hog Town Inc., subject to approval by the board.
c. No vote except in the case of a tie vote.
2. VICE PRESIDENT
a. To assume the duties of the President, in his absence.
b. To insure the functions and performance of each committee.
3. SECRETARY
a. To maintain all the organizations business and records.
b. To process all applications for membership in due time of receiving applications.
c. To record minutes of all board and general membership meetings.
d. To maintain voting eligibility records.
4. TREASURER
a. To maintain and update all financial records of the organization.
b. To be responsible for the collection of all dues and other money received by the organization.
c. To report financial status at membership meetings.
5. SERGEANT AT ARMS ( 1 Alternate )
a. To insure order at all organizational meetings.
b. Shall decide all issues of Hog Town Inc. procedures according to Roberts Rules of Order.
c. Shall be chairman of the bylaws committee.
d. Shall be a voting member of the Administrative and Executive committees.
e. Oversees bylaws of Hog bTown Inc.
f. Oversees conduct of members.
6. TRUSTEES
a. To maintain a running, updated inventory of all assets and properties of Hog Town Inc.
7. Any Elected Officer, ( pres., Vice Pres., Sec., Treas., SAA or Trustee ) absent from two consecutive meetings
without legitimate cause will be removed from office.
ARTICLE XI: ELECTION OF OFFICERS
A. Any member of Hog Town Inc. can be nominated by another member.
B. Elections will be done by secret ballot vote.
C. Term of office for each elected position will be one year and will begin on the date the election is held.
D. The current Treasurer will co-maintain records with the newly elected Treasurer through the end of the fiscal year.
E. An incumbent officer is automatically nominated as an eligible canidate for re-election to the position currently held
unless he or she declines the nomination or accepts a nomination for another elected position.
F. A member will be allowed to accept the nomination for no more than one elected position during an election.
G. Nominations for all elected positions will be closed before proceeding with an election.
H. One ballot will be cast for each elected position being voted upon with all eligible candidates running for that position
listed on the same ballot.
I. The winning candidate will be the one receiving the highest number of votes for that position.
J. In the event of a tie vote, a runoff election will be held to determine the winning candidate.
K. In the event a runoff election fails to resolve a tie vote the President will cast the tie-breaking vote.
L. Mid-term vacancies will be temporarily filled by the board's recommendation and with the approval of the general
membership.
M. Ballot counters shall be appointed by the election committee.
ARTICLE XII: BYLAW AMMENDMENT REVIEW PROCEDURE
A. Ideas and suggestions for changes to the bylaws shall be presented in writing to a member of the bylaw committee.
B. All suggestions for changes must be submitted on or before the June meeting.
C. All suggestions will be reviewed and acted upon by the bylaw committee.
D. Changes to bylaws recommended by the bylaw committee will be voted upon by the general membership by secret ballot.
ARTICLE XIII: SPENDING AND REIMBURSEMENT
A. No officer or general member can spend any money unless:
1. If amount is under $300.00 it is voted upon and approved by the board.
2. If amount is over $300.00 it is voted on and approved by the general membership.
3. No money will be reimbursed if not frist approved by the board and without a legitimate receipt.
ARTICLE XIV: HOG TOWN PRODUCTS
A. No Hog Town Inc. product, meaning anything displaying the Hog Town Inc. name, logo or purpose, will be produced by
any person or company without approval by the Hog Town Inc. board and product's officer.
ARTICLE XV: EVENT/FUNCTION PROPOSALS
A. Any proposal brought to the membership of Hog bTown Inc. must be submitted in written form with as much information
as possible in order to give a clear understanding of what is being proposed.
ARTICLE XVI: NON ELECTED POSITIONS
A. All non-elected positions will be voted upon by the general membership.
